VultScreen

Terms of Service

Draft structure for the terms governing access to and use of VultScreen. Effective date: to be supplied after legal approval.

LEGAL REVIEW REQUIRED. This page is a drafting framework, not approved legal language. Counsel must complete every bracketed item, confirm the commercial terms, and approve the final policy before launch.

1. Provider and agreement

[COMPLETE BEFORE LAUNCH: identify the contracting entity, business address, and an approved legal contact.]

Define who may accept these terms, when the agreement takes effect, and how organization accounts bind their workspace.

2. Accounts and authorized users

Specify account eligibility, credential security, workspace administrator responsibilities, and responsibility for invited team members.

3. Service, plans, and changes

Describe the hosted signage service, plan limits, trials if offered, service changes, and any availability or maintenance commitments.

[LEGAL REVIEW REQUIRED: align this section with the actual product, sales materials, and any signed order form or service-level commitment.]

4. Fees, billing, renewal, and taxes

Document prices, billing intervals, screen-based quantities, renewal, cancellation timing, refunds, failed payments, price changes, and tax responsibility.

[LEGAL REVIEW REQUIRED: confirm these rules against the production checkout and billing process.]

5. Customer content and permissions

Define ownership of uploaded assets and scenes, the limited license needed to host and display that content, and the customer’s responsibility for necessary rights and permissions.

6. Acceptable use

Prohibit unlawful, infringing, abusive, deceptive, security-threatening, and service-disrupting use. Define investigation, suspension, and remediation procedures.

7. Intellectual property and feedback

Identify ownership of the service, software, branding, documentation, and feedback. Add any approved open-source or third-party notices.

8. Privacy, security, and sub-processors

Incorporate the Privacy Policy and describe any data-processing terms, security commitments, and sub-processor notice process.

9. Suspension, termination, and data export

Define termination rights, suspension triggers, what happens to active screens, available export windows, retention, and deletion after termination.

10. Warranties, liability, indemnities, and disputes

[LEGAL REVIEW REQUIRED: counsel must draft all warranty disclaimers, liability limitations, indemnities, governing law, venue, arbitration or court process, and any region-specific consumer rights.]

11. Changes, notices, and contact

Specify how customers receive material changes and legal notices, then add approved notice addresses. General support is available through the contact page.
